The Site is operated by MedSpa MBA (“MedSpa MBA,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

Eligibility and Authority
By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Site on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

Intellectual Property
The Site and all content, features, and functionality (including text, graphics, logos, images, design, and software) are owned by MedSpa MBA or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, MedSpa MBA grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes. Acceptable Use; Prohibited Conduct

f. scrape, crawl, or use automated means to access the Site, except as permitted by the Site’s robots.txt (if any) and applicable law;
g. impersonate any person or entity or misrepresent your affiliation.

Submissions; Investor Inquiries and Deal Materials
The Site may permit you to submit inquiries, information, and materials, including business plans, pitch decks, financial information, and other content (collectively, “Submissions”). Unless otherwise expressly agreed in a separate written instrument executed by MedSpa MBA:

a. No Confidential Relationship. Your Submissions are not provided in confidence and do not create any fiduciary, advisory, or confidential relationship between you and MedSpa MBA. Do not submit confidential, proprietary, or sensitive information unless and until you have an executed written agreement with MedSpa MBA covering such disclosure.

b. Permission to Review. You grant MedSpa MBA and its advisors and service providers the right to access, review, evaluate, and internally use your Submissions for business purposes, including diligence and assessment.

c. No Obligation. MedSpa MBA has no obligation to review, respond to, return, or delete Submissions, and may accept, reject, or cease discussions at any time in its sole discretion.

d. Your Representations. You represent that you have all rights and permissions necessary to provide the Submissions and that the Submissions do not violate any law or third-party rights.

The Site may contain links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Access third-party sites at your own risk.

Privacy; Communications
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Site, you consent to receive communications from us in connection with your use of the Site and any inquiries you submit.

If you opt in to receive text messages from MedSpa MBA, you consent to receive informational and transactional messages at the mobile number you provide. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP. For help, reply HELP or contact us. Consent to receive texts is not a condition of purchase.

Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDSPA MBA DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MEDSPA MBA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MEDSPA MBA OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, ADVISORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE OR ANY CONTENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDSPA MBA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED USD $100.

Indemnification
You agree to defend, indemnify, and hold harmless MedSpa MBA and its affiliates, officers, directors, employees, agents, advisors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating.
